A Framework For Doodles Licensing

tl;dr

I’d like to propose the development of an official, legal means through which businesses can become “Doodle Verified” or “Doodle Friendly” etc, so that they can use that in their advertising materials, and Doodles can benefit from increased desirability.

To be completed by the end of Q1 2022.

Vision

We all know that the value of a NFT is not just in the ownership of small piece of code on the blockchain pegged to an image stored on IPFS, but also in the social capital awarded to us through its ownership. This proposal will outline three ways for doodles to utilize this social capital for financial gain or support for local businesses and non-profits and specifically proposes the creation of a legal framework including “plug and play” legal documents that can be used by doodle holders to benefit from this social capital by using Doodles for marketing products and businesses to increase the visibility and desirability of Doodles.

Purpose

This proposal would enable Doodles holders and the Doodles team to use pre-formed legal agreements as the basis for using an individual full PFP of a Doodle in marketing for a business or product, limiting complications and difficulty surrounding licensing while setting the standard for the use of Doodles as intellectual property in marketing.

Overview

A. Legalese:

This proposal would divert funding in the range of 2-5 Ethereum for legal assistance in creating these forms (I really don’t know how much this would actually cost). It would also establish the guidelines for licensing deals with the Doodles, which would require the Doodles team to agree to a standard licensing system for the use of individual Doodle PFPs in their full form in marketing materials.

The advertising agreements would follow the basic terms of service outlined in the Doodles TOS, prohibiting the use of “any Doodles Licensed Materials in connection with any material, which is unlawful, fraudulent, libelous, defamatory, obscene, pornographic, profane, threatening, abusive, hateful, offensive or otherwise objectionable or unreasonable or infringing upon any laws or regulations or intellectual property rights or proprietary rights or confidentiality obligations” and constitute the licensing agreements referred to in the statement “should you approach that number [100,000 USD in revenue] or expect to go beyond it please reach out to the team and we’ll discuss a licensing deal for anything beyond that amount.”

Again, this proposal would only create a legal framework that outlines the use of Doodle NFT PFPs in their full form on marketing for Businesses and Goods. This is distinct from proposals such as “Doodles animated short experiment on Doodles YouTube channel (vision: a show on Netflix)” in that it would only allow the use of full Doodles in stores and marketing, which will be hashed out

B. Incentives for Businesses:

Involved businesses will receive the rights to refer to themselves as “Doodle Verified” or “Doodle Friendly” (please place additional suggestions for names in the comments below) and to display the individual Doodle(s) utilized. This could come in the form of a neon sign of their doodle sent to each business for display in their window (custom signs are available online for sub 1k USD). Additionally, if desired, small businesses could receive permission to use additional art assets for decoration of their stores, though this would need to be outlined in further documents.

Forms of legal marketing arrangements

The specifics of the agreements can be hashed out in the comments of this proposal and will obviously require adherence to established legal tenets regarding licensing and the use of IP. Preferably agreements will also match the legal standards commonly used in the marketing industry.

1. Marketing a Business using Owned Doodles

Assuming that the individual/company owns the Doodle that they wish to use in their marketing/print in full on a product, they would sign an agreement created as part of this proposal that would outline their ability to market their business or product using their Doodle(s). The agreement would outline specific requirements for the use of the image of the Doodle including a minimum holding term, benefits for Doodles holders in the business, detail acceptable uses of the Doodles and require that some percentage of funds earned (preferably half of the profit earned that can be attributed to the use of the Doodle) after 100,000 USD be transferred in Ethereum to the Doodles Community Wallet bi-monthly.

2. Selling Doodle Merch

Assuming that the individual/company owns the Doodle that they wish to use in full on merchandise they would sign an agreement created as part of this proposal that would outline their rightful usage of the The agreement would outline specific requirements for the use of the image of the Doodle including a minimum holding term, detail acceptable uses of the Doodles and require that some percentage of funds earned (preferably half of the profit earned that can be attributed to the use of the Doodle) after 100,000 USD be transferred in Ethereum to the Doodles Community Wallet bi-monthly.

3. Renting out the Image of a Doodle

The agreement for renting the image of the Doodle will be the same as “marketing a business using owned Doodles” or “selling Doodle merch,” but will additionally set a term for which the Doodle will be licensed to the company/individual renting the use of the full image of the Doodle for marketing purposes, require that the Doodles holder maintain ownership of the Doodle while not entering the Doodle in another rent agreement or using the Doodle for marketing or merch for the extent of the renting period and set a fee structure for rent agreed to by the holder and the renter, which will be split evenly between the Doodles owner and the Doodles community wallet, to be paid in Ethereum bi-monthly.

This renting structure enables Doodle holders to profit off of holding their Doodle and can encourage individual holders (not companies) to hold their Doodle. It also enables Doodles to potentially support smaller businesses and non-profits that they enjoy without having to gift them a Doodles NFT. Are you a fan of a small business in your area? If so, this renting agreement allows you to set a low, or even non-existent fee for the use of your Doodle in their marketing/storefront to show Doodles support for hard working community members and create authentic Doodles hangouts in our local communities. Imagine an animal shelter with a Cat Doodle logo!

Additional Thoughts

This proposal does not seek to enable the co-opting of organic NFTs like the Doodles by major corporations. As such, the documents produced should limit the ability of larger corporations to profit off of the Doodles brand while maintaining the organic nature of the Doodles community. This could be done by limiting the use of Doodles branding to a set number of physical stores, which would prevent the rebranding of companies under the Doodles pastel themes. As such, small businesses should receive greater assistance and benefits from the community and team under this new marketing structure.

Could be something to consider when we have developed the IP and reach of Doodles in a specific niche.

I agree with this generally, but think its best to have that framework from the get go, for example if I wanted to rent out the image of my Doodle to a local coffee shop for cheap now I would have to put a lot of effort into the legalese and the shop might not want to dedicate resources to producing Doodles themed coffee or whatever if they don’t believe the mechanisms for doing so are set in stone.

This could also accelerate our IP development and create more Doodle friendly spaces across the world.

That’s a good point, and it might be true. I was just thinking from the perspective of a potentially verified business. In this stage, I do not see that much value for them to get doodle verified, unless we develop the IP and reach first. But sketching a legal framework when that collaboration do occur, might be a good idea.

Would like to hear remarks from folks in the legal field on this topic, and how such a framework can be used internationally too.

How do we feel about doing a line of custom shirts for a set amount of Doodle holders. We could use a provably fair way to distinguish who gets one, pick a few design options. and then we could produce say a set of 100 at a time.
